RSA is satisfied that the modification is justified under each of Article 72(1)(b) and 72(1)(e) of Directive 2014/24/EU. The justification in respect of Article 72(1)(e) is provided in Section VI of this Modification Notice. With regard to Article 72(1)(e), RSA is satisfied that the extension of the contract for 6 months is not ‘substantial’ within the meaning of Article 72(4). In particular: • RSA is satisfied that the additional 6 months would not have attracted additional participants because the nature of the service with declining volumes. • The additional six months would not have impacted on the selection criteria (which were pass/fail, as this was an open process) and therefore would not have impacted who was selected to participate in the competition. • RSA is satisfied, based on its financial analysis, that the additional sums would not have changed the outcome of the competition. • RSA is satisfied that a 12.5% increase in the overall potential contract duration and 7% increase in value (as compared with the evaluation price of the successful tenderer as set out in the Contract Award Notice) would not considerably extend the scope of the contract within the meaning of Article 72(4). For information, the increase in value is only 3.7% when compared with the value of the successful tenderer’s price when applied to the overall potential contract duration including the two potential extensions, and only 6.6% when compared with the estimated contract value in the Contract Notice. • RSA is satisfied that the economic balance of the contract is not being altered in favour of the contractor and that the payments made are proportionate.

The need for additional services arises from the fact that there is an ongoing process within the RSA for the amalgamation of the NDLS FO together with the Driver Theory Testing Service and other elements of the NDLS into one contract. The procurement process for this amalgamated contract was due to start in Q1 2020, however, due to the impact of Covid-19 and impact of the multiple licence extensions imposed as measures to combat the pandemic, the work to identify the future service delivery model for the NDLS/DTTS was delayed until Mid-2024. As a result, the NDLS FO contract needed to be extended beyond its current term to ensure continuity of services until the procurement process for the amalgamated NDLS/DTTS contract is complete. In addition, a change in contractor would cause both significant inconvenience and substantial duplication of costs for the RSA. In particular, a change in contractor would disrupt continuity of service and would compromise the RSA's ability to carry out the National Driver Licensing Service – which is a key state service required under legislation.

The RSA has modified the existing contract between the RSA and SGS Ireland Ltd. under Article 72(1)(b) by extending it for a period of 22 months and 20 days to 31 December 2026. The value of this modification is €7,820,000 (ex. VAT) (as specified in 6.2 of this Notice). For clarity: this brings the total estimated value of the contract from its commencement to 31 December 2026 to €23,680,000 (ex. VAT).
