UCD undertakes to use its best endeavours to hold confidential any information provided by tenderers as part of this procedure, subject to its obligations under law, including, in particular, the Freedom of Information Acts, 1997-2003. UCD reserves the right to discuss aspects of the tenders with its advisors and any relevant authorities where UCD considers such discussion necessary or appropriate.

Should any tenderer wish that any information supplied by that tenderer as part of this process not be disclosed because it is commercially sensitive, confidential or otherwise exempt, the tenderer must, when providing this information, clearly identify the specific information it does not wish to be disclosed and clearly specify the reasons for its exemption.

UCD accepts no liability whatsoever in respect of any information provided which is subsequently released or in respect of any consequential damage suffered as a result of such obligations.

Tenderers must note that it is not sufficient to include a statement of confidentiality encompassing all the information provided in the response to the ITT.

UCD will use its best endeavours to consult with the tenderer about sensitive information before making a decision on any freedom of information request received.

UCD reserves the right to assign/novate the Framework Agreement to a wholly owned subsidiary of UCD.

UCD does not warrant or represent that this notice, nor the Invitation to Tender document nor any other information or documents given to tenderers, is accurate or complete. Neither UCD, nor its advisers, accept liability for any error, misstatement, or omission (negligent or otherwise) in this document, or in any other information given to tenderers.

This process is not a contract, or part of a contract, or an offer to form a framework agreement or a contract. There will be no framework agreement or contract between UCD and any applicant unless and until a contract/framework agreement is finally and formally concluded at the end of the procurement procedure. UCD has no obligation to enter a contract or framework agreement with any tenderer.

UCD will not be liable for tenderers' costs in connection with the procurement procedure, irrespective of the outcome, nor if the procedure is cancelled or postponed. UCD has the right to terminate the procedure (or part of it), to change it, to procure the services by other means, or to do any combination of these.

Legal form to be taken by the group of economic operators to whom the contract is to be awarded

Tenderers may include individuals, partnerships, limited companies, groupings or any combination of the foregoing with or without legal personality. However, a grouping if successful should prior to award of the Framework Agreement, be in such a legal form as to contract as a single entity.
