โ€” Advice on Business readiness and assessment in relation to disposal activities including developing and documenting key sales process information requirements and project governance,
โ€” Advice on Investment and transactional activities, valuation and preferred value realisation options,
โ€” Advice on business plan and modelling requirements,
โ€” General financial strategy and deal execution advice.
Treasury Services:
โ€” Advice, update and maintain Treasury policy and procedure documents,
โ€” Identify and monitor relevant relationship banks for BGE,
โ€” Advice on Treasury Risk management policy and best practice frameworks,
โ€” Advice on Treasury transaction, execution and reporting to cover F/x, Liquidity and Derivatives,
โ€” Advice on Centralised or other Corporate funding models.
Applicants should note that BGE is procuring lead corporate finance and legal advisors for the sale of Bord Gรกis Energy under independent competitions separate from this framework.
Lot 2 has been divided into two separate sub-lots โ€“ Lot 2(a) and Lot 2(b). Panels of advisors will be selected for both Lot 2(a) and Lot 2(b). Lot 2(a) encompasses all requirements relating to Corporate Finance as detailed in the Lot Description. Lot 2(b) relates to all requirements relating to Treasury as detailed in the Lot Description. BGE reserves the right to request specialist area advice from successful advisors on either the Lot 2(a) panel or the Lot 2(b) panel.

Applicants must confirm that none of the circumstances listed in paragraphs 1 or 2 of Article 45 of EU Directive 2004/18/EC of the European Parliament and of the Council, dated 31 March 2004, (as amended by Directive 2005/51/EC dated 7 September 2005 and Directive 2005/75/EC dated 16 November 2005) or paragraphs 1 or 4 of Regulation 53 of the European Communities (Award of Public Authorities Contracts) Regulations 2006 (S.I. 329 of 2006) apply to the Applicant and any third parties involved. Applicants must confirm whether they are aware of any conflict of interest either with current clients or prospective clients in the public or private sectors, which might have an impact on their ability to provide the services being procured. Economic and financial standing:
Applicants must submit with their pre-qualification submission evidence that they have an unmodified audit opinion with respect to the basis of going concern in the preparation of its financial statement for the most recent financial year. Where the Applicant is unable, for a valid reason, to provide the specified documentation set out above, the Applicant must inform BGE of that valid reason as to why the documentation cannot be supplied, and provide other suitable alternative documentation to BGE to prove, to the satisfaction of BGE, their economic and financial standing. Confirmation that relevant insurances can be provided if the Applicant is ultimately successful is also required. Minimum level(s) of standard possibly required: Applicants for Lot 2(a) and Lot 2(b) must provide evidence that the Applicant has achieved a minimum turnover level of โ‚ฌ5 million and โ‚ฌ1million respectively in each of the previous three (3) financial years. Technical and professional ability:
Applicants must provide a brief profile of their company/entity including the range of relevant services offered with particular reference to BGEโ€™s service requirements including a percentage breakdown of the total business that each of those services represent. Applicants must detail their current organisational structure to cover specifically the relevant services. Applicants must also provide 6 CVs of proposed key staff to be involved in e provision of services, outlining their qualifications and experience. Applicants must provide details of their approach and process for managing client relationships, communication and reporting and quality assurance measures. Applicants are required to demonstrate they have an acceptable level of experience in delivering previous contracts of similar capacity by providing a list of past and similar projects identifying scope, contract duration and start and end dates together with contact references of the employer/client including names, addresses and email address / fax numbers. Qualification Submissions may be submitted by single entities or by a consortium/joint venture. Where the Qualification Submission is from a consortium/joint venture, a prime service provider must be nominated. All communication should be from the prime service provider only. The prime service provider is responsible for ensuring that all parties to the consortium comply with this PQQ. BGE will not act as an arbitrator between members of a project consortium/joint venture. A consortium/joint venture will not be required to convert into a specific legal form in order to submit a Qualification Submission, but may be required to do so prior to award of the Contract or Contracts.
